How it works

Why a Form D matters before you pitch

A VC fund invests money it raised from its own investors. Between funds, a firm can like your company and still have nothing left to write a check with. A recent Form D is the public record that a fund is raising or has just closed new capital, which is when it is most likely to be making new investments.

The filing also tells you how big the fund says it is. A stated $15M offering and a stated $500M offering are very different investors: a small fund is far more likely to write a first check into a pre-seed round. Use the size to decide who to pitch first, and treat a fund with no filing in the last year as one to ask directly about where it is in its fund cycle.

What a Form D does not tell you

A Form D is a signal, not a promise. It does not say which stage or sectors the fund backs, how much it has already deployed, or whether a partner will take your meeting. Some filings are single-deal vehicles (SPVs) rather than funds; the lookup labels the ones it can identify. Check the fund's thesis and recent deals before you reach out.

Frequently asked questions

What is a Form D?

A Form D is a short notice a company or fund files with the SEC when it raises money under a Regulation D exemption. Venture funds raise from their investors (LPs) this way, so a new Form D from a VC fund usually means it is raising or has just closed a fund. It is due within 15 days after the first sale of interests.

How do I check if a VC fund filed a Form D?

Type the fund's name into the lookup above. It searches the Form D filings DryPowder has collected from SEC EDGAR in the last 365 days and shows each match with its filing date, stated offering size and a link to the filing on sec.gov. You can also search EDGAR directly at sec.gov/edgar/search.

What if the fund I'm looking for doesn't show up?

No result here does not prove the fund never filed. DryPowder only keeps filings its EDGAR monitor identifies as venture or angel funds, and funds often file under a legal entity name (for example "Acme Ventures Fund II, L.P.") that differs from the brand you know. Try a shorter part of the name, or search EDGAR full-text search on sec.gov.

What does "single-deal vehicle (SPV)" mean on a result?

Some Form Ds are for a special purpose vehicle or series LLC set up to invest in one company, not for a fund that writes many checks. DryPowder labels those using the filing's text and the raw entity name on EDGAR, so you can tell a new fund apart from a single deal.

Is the VC Fund Form D Lookup free?

Yes. The lookup, the Form D filings list and every public fund profile are free. Partner contact details are part of DryPowder's paid plans: Starter at $39/month, Signal at $99/month, and Raise at $199/month, with annual pricing available.
